1. Introduction

Welcome to Zombie Gangster. These Terms and Conditions (“Terms”) govern your use of the Zombie Gangster website (the “Site”) and any purchase, sale, or transfer of NFTs from the Zombie Gangster collection (“NFTs”).

By accessing the Site or acquiring NFTs, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must immediately cease use of the Site and refrain from purchasing or interacting with Zombie Gangster NFTs.

These Terms form a legally binding agreement between you (the “User”) and Zombie Gangster (the “Company,” “we,” “our”).

2. Acceptance of Terms

Use of the Site and acquisition of NFTs constitutes full acceptance of these Terms. You also agree to comply with all applicable laws, regulations, and guidelines in your jurisdiction.

Zombie Gangster reserves the right to modify or update these Terms at any time, without prior notice, and your continued use constitutes acceptance of any revised Terms.

3. NFT Sale Terms

3.1 General Terms

  • A Zombie Gangster NFT is a non-fungible token recorded on the blockchain that links to associated digital artwork.

  • You acquire ownership of the NFT token only. You do not acquire ownership of the underlying artwork, brand, or intellectual property.

  • Purchases are final and non-refundable. No cancellations, chargebacks, or reversals will be accepted.

3.2 Payments

  • NFT purchases require payment in supported cryptocurrencies, including but not limited to Ethereum (ETH), Wrapped Ethereum (WETH), and Matic (Polygon).

  • You are solely responsible for ensuring your wallet and transaction details are correct.

  • All blockchain transactions are irreversible. The Company cannot and will not reverse or refund transactions.

3.3 Assumption of Risk

By purchasing or holding a Zombie Gangster NFT, you acknowledge and accept:

  • The volatile nature of cryptocurrencies and NFTs.

  • The risk of loss of value, including complete loss.

  • The risk of wallet compromise, hacks, or technical errors.

  • The possibility of regulatory changes that may impact the legality or transferability of NFTs.

The Company assumes no liability for these risks, all of which are borne by you.

4. Intellectual Property

4.1 Ownership

Zombie Gangster, including its artwork, lore, characters, logos, and branding, are the exclusive property of the Company.

Purchasing an NFT does not grant you ownership or rights in the intellectual property.

4.2 Limited License

NFT holders are granted a revocable, limited, non-exclusive license to:

  • Display their NFT for personal, non-commercial purposes.

  • Resell or transfer the NFT on supported marketplaces.

4.3 Restrictions

You are expressly prohibited from:

  • Using the artwork or IP for commercial purposes (e.g., merchandise, advertising, derivative works) without written consent.

  • Registering or attempting to register any trademarks, copyrights, or domains that incorporate Zombie Gangster IP.

  • Misrepresenting yourself as affiliated with or endorsed by Zombie Gangster.

The Company reserves the right to revoke your license for violation of these Terms.

5. Ownership and Transfer

  • Ownership of NFTs is determined by blockchain records. The Company cannot alter or reverse ownership.

  • You may transfer or resell your NFT, provided the transferee agrees to be bound by these Terms.

  • The Company is not responsible for third-party platforms, wallets, or marketplace failures.

6. User Conduct

You agree not to:

  • Use NFTs or the Site for any illegal or fraudulent purpose, including but not limited to money laundering, terrorism financing, or unlawful trading.

  • Violate the intellectual property rights of Zombie Gangster or others.

  • Upload, transmit, or distribute malware, spam, or malicious code.

  • Engage in market manipulation, wash trading, or deceptive practices.

The Company may restrict, suspend, or terminate your access to the Site or community channels at its discretion for any violation.

7. Disclaimers and Limitation of Liability

7.1 No Warranty

Zombie Gangster NFTs and the Site are provided “as is” and “as available” without warranties of any kind, express or implied. We make no representations regarding:

  • The accuracy or reliability of NFTs, artwork, or blockchain data.

  • The availability, functionality, or security of the Site.

  • The future performance, demand, or value of NFTs.

7.2 Limitation of Liability

To the maximum extent permitted by law, Zombie Gangster, its team, affiliates, and agents shall not be liable for any damages, including but not limited to:

  • Financial loss, lost profits, or lost data.

  • Business interruption or reputational damage.

  • Hacks, exploits, or third-party system failures.

  • Regulatory or legal consequences arising from NFT ownership or use.

Your sole remedy is to discontinue use of the Site and dispose of your NFTs.

8. Real-World Activations (RWA) and Future Developments

Zombie Gangster may, at its sole discretion, explore real-world activations or expansions to complement the digital collection. Such initiatives are not guaranteed, may change without notice, and do not create binding obligations on the Company.

Holders have no expectation of profit, dividends, or rights to governance unless explicitly granted in writing by the Company.

9. Amendments and Termination

The Company may amend, update, suspend, or terminate the Site, NFTs, or related services at any time, with or without notice.

You are responsible for reviewing updated Terms. Continued use constitutes acceptance of changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. You agree that any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Privacy and Data

Use of the Site is subject to our Privacy Policy, which outlines how we collect, store, and process data.

12. Security Notice

Zombie Gangster will never request your wallet seed phrase, private keys, or passwords. You are solely responsible for securing your wallet and transactions.
